Company Information

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TECHTIQ LTD ("Company," "we," "us," or "our"), a company duly registered and incorporated under the laws of the Republic of Cyprus, bearing registration number HE 451307, with its registered corporate office located at Mourouzi, 1 GEORGIA COURT, 4th floor, Office 401, 4001, Limassol, Cyprus. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

1. Acceptance of Terms

Welcome to TECHTIQ. These Terms of Service ("Terms") constitute a legal agreement between you ("Customer," "you," or "your") and TECHTIQ ("TECHTIQ," "we," "our," or "us"). By accessing or using our payment orchestration platform and related services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

These Terms apply to all users of the Services, including merchants, developers, and any parties integrating with or utilizing our payment platform.

2. Description of Services

TECHTIQ provides a payment orchestration platform that enables:

  • Payment processing across multiple payment methods (cards, APMs, crypto, bank transfers)
  • Smart routing and optimization of payment transactions
  • Real-time analytics and reporting
  • Fraud prevention and risk management
  • Integration with third-party payment processors and financial institutions
  • API access and developer tools

The Services are provided on a software-as-a-service (SaaS) basis. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Account Registration and Eligibility

3.1 Eligibility

To use the Services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Operate a legitimate business registered in a supported jurisdiction
  • Comply with all applicable laws and regulations
  • Not be located in, or a resident of, a jurisdiction subject to sanctions or export restrictions

3.2 Account Creation

During registration, you must:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Maintain the security and confidentiality of your account credentials
  • Immediately notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

3.3 Know Your Customer (KYC) Requirements

We may require you to complete identity verification and due diligence procedures, including providing business licenses, beneficial ownership information, and financial statements. Failure to comply may result in service suspension.

4. Use of Services

4.1 Permitted Use

You may use the Services only for lawful business purposes, including:

  • Processing legitimate customer payments
  • Managing payment operations and reconciliation
  • Accessing analytics and reporting
  • Integrating payment functionality into your applications

4.2 Prohibited Activities

You must not:

  • Process payments for illegal goods or services
  • Engage in fraudulent or deceptive practices
  • Process transactions without proper authorization
  • Violate any payment network rules or card association guidelines
  • Reverse engineer, decompile, or attempt to extract source code from the Services
  • Circumvent security measures or authentication mechanisms
  • Use the Services for high-risk industries without prior approval (gambling, adult content, pharmaceuticals, etc.)
  • Transmit viruses, malware, or harmful code
  • Overload or interfere with the operation of the Services
  • Access data or systems not intended for you

4.3 Compliance Obligations

You are responsible for:

  • Complying with PCI DSS requirements for handling payment card data
  • Obtaining proper customer authorization for transactions
  • Providing clear terms and conditions to your customers
  • Handling customer disputes and chargebacks
  • Complying with anti-money laundering (AML) and counter-terrorism financing (CTF) regulations
  • Maintaining required licenses and registrations

5. Fees and Payment

5.1 Service Fees

Fees for the Services are specified in your service agreement or invoice. Fees may include:

  • Transaction fees (percentage or fixed per transaction)
  • Monthly or annual subscription fees
  • Setup and integration fees
  • Premium feature charges
  • Chargeback fees

5.2 Payment Terms

  • Fees are non-refundable unless otherwise specified
  • We may modify fees with 30 days' written notice
  • Late payments may incur interest charges and service suspension
  • You authorize us to deduct fees from your settlement balance

5.3 Taxes

Fees are exclusive of taxes. You are responsible for all sales, use, VAT, GST, and other applicable taxes, except for taxes based on TECHTIQ's net income.

6. Payment Processing

6.1 Transaction Authorization

You must obtain proper authorization from your customers before processing payments. You agree to comply with all payment network rules regarding authorization, clearing, and settlement.

6.2 Reserves and Holds

We may establish reserves, hold funds, or delay settlement to mitigate risk, comply with regulations, or protect against potential losses due to:

  • High chargeback rates
  • Suspicious activity or fraud concerns
  • Regulatory requirements
  • Account disputes or investigations

6.3 Chargebacks and Disputes

You are liable for all chargebacks and payment disputes. We may debit your account for chargeback amounts, fees, and penalties. You must respond to chargeback requests within specified timeframes.

6.4 Settlement

Funds are typically settled to your designated account according to your service agreement. Settlement times may vary based on payment method, risk profile, and processing partner requirements.

7. Intellectual Property Rights

7.1 TECHTIQ Property

The Services, including all software, APIs, documentation, trademarks, logos, and content, are owned by TECHTIQ or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7.2 Customer Data

You retain ownership of your transaction data, customer information, and business data ("Customer Data"). You grant us a license to process Customer Data solely to provide the Services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Services become our property, and we may use them without obligation or compensation to you.

8. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you agree to our data practices as described in the Privacy Policy.

You must comply with all applicable data protection laws (GDPR, CCPA, etc.) when handling customer data through our Services.

9. Security and Confidentiality

9.1 Security Measures

We implement industry-standard security measures, including:

  • Encryption of data in transit and at rest
  • Multi-factor authentication
  • Regular security audits and penetration testing
  • PCI DSS Level 1 compliance

9.2 Your Responsibilities

You must:

  • Implement appropriate security measures for your systems
  • Protect API keys and credentials
  • Report security incidents immediately
  • Comply with PCI DSS requirements

9.3 Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and use it only as necessary to perform under these Terms.

10. Service Level and Availability

We strive to maintain 99.9% uptime for the Services. However, the Services are provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. Scheduled maintenance and upgrades may cause temporary service interruptions.

We are not responsible for third-party service outages, network issues, or circumstances beyond our reasonable control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NO INDIRECT DAMAGES: TECHTIQ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION
  • LIABILITY CAP: OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • EXCEPTIONS: This limitation does not apply to our gross negligence, willful misconduct, fraud, or violations of applicable law

12. Indemnification

You agree to indemnify, defend, and hold harmless TECHTIQ, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of laws or regulations
  • Infringement of third-party rights
  • Your products, services, or business practices
  • Customer disputes and chargebacks

13. Term and Termination

13.1 Term

These Terms commence when you first access the Services and continue until terminated by either party.

13.2 Termination by You

You may terminate your account at any time by providing written notice. You remain liable for all fees and obligations incurred before termination.

13.3 Termination by Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Exceed acceptable chargeback thresholds
  • Fail to pay fees
  • Create security or compliance risks

13.4 Effect of Termination

Upon termination:

  • Your access to the Services will cease
  • Outstanding fees become immediately due
  • We may retain funds subject to reserves or pending disputes
  • Certain provisions survive termination (indemnification, liability limitations, confidentiality)

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@techtiq.io to attempt to resolve disputes informally.

14.2 Arbitration

Any disputes not resolved informally shall be settled by binding arbitration in accordance with commercial arbitration rules. Arbitration shall be conducted in English in a mutually agreed location.

14.3 Class Action Waiver

You waive any right to participate in class actions or class-wide arbitration against TECHTIQ.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles.

15.2 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or platform notice. Continued use of the Services constitutes acceptance of modified Terms.

15.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor entity.

15.4 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

15.5 Entire Agreement

These Terms, together with the Privacy Policy and any service agreement, constitute the entire agreement between you and TECHTIQ regarding the Services.

15.6 Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control, including war, terrorism, cyberattacks, government actions, natural disasters, or third-party service failures.
